These Terms of Service (“Terms”) govern your use of the website, services, and deliverables provided by Drone Baseline Solutions (“we,” “us,” or “our”). By requesting a quote, engaging our services, or using our website, you agree to these Terms.

1. Services

Drone Baseline Solutions provides survey-grade aerial mapping services, including but not limited to:

• Orthomosaics, LiDAR point clouds, and digital terrain models
• Topographic surveys, volumetrics, cut/fill analysis, and progress tracking
• Digital twins, thermal inspection, and as-built documentation
• Data delivered in formats such as .LAS, .DWG, .DXF, .TIFF, and platform integrations (e.g., Propeller, Civil 3D, ArcGIS)

Specific scope, deliverables, accuracy specifications, and pricing are defined in the project proposal or quote accepted by you. Our services are conducted by FAA Part 107 certified pilots and in compliance with applicable regulations.

2. Client Obligations

You agree to:

• Provide accurate project information, boundaries, and site access as required
• Obtain and maintain any necessary permits, permissions, or landowner consent for flight operations
• Inform us of any airspace restrictions, hazards, or special requirements
• Pay invoices in accordance with the agreed payment terms
• Use deliverables solely for the purposes described in the project scope

3. Quotes, Payment, and Cancellation

Quotes. Quotes are valid for the period stated and are subject to change based on scope changes or site conditions discovered after acceptance.

Payment. Payment terms will be specified in your proposal. Late payments may incur interest at 1.5% per month (or the maximum rate permitted by law) and may result in suspension of services.

Cancellation. Cancellation of a project after acceptance may result in charges for work performed, non-refundable costs, or cancellation fees as specified in your proposal.

4. Deliverables and Ownership

Upon full payment, you receive a license to use the deliverables (orthomosaics, point clouds, reports, etc.) for the purposes specified in the project. We retain the right to use de-identified, aggregate data for internal quality assurance, calibration, and improvement. Unless otherwise agreed, raw flight data and intermediate processing files remain our property.

5. Accuracy and Professional Use

Our deliverables are produced to the accuracy standards stated in your proposal (e.g., ASPRS standards, RMSE thresholds). Deliverables are intended for professional use in surveying, engineering, and related fields. We do not guarantee suitability for uses beyond the agreed scope. You are responsible for verifying that deliverables meet your requirements before using them for design, construction, or other critical decisions.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid for the specific project giving rise to the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
• We are not liable for delays or failures caused by weather, airspace restrictions, site access issues, or force majeure.

7. Indemnification

You agree to indemnify, defend, and hold harmless Drone Baseline Solutions and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of deliverables, or your failure to obtain required permissions for flight operations.

8. FAA Compliance and Airspace

We operate under FAA Part 107 and comply with applicable airspace and aviation regulations. You warrant that you have the authority to authorize flights over the project site and that you have disclosed any known restrictions. We are not responsible for delays or cancellations due to airspace authorization, LAANC denials, or regulatory requirements beyond our control.

9. Confidentiality

We treat your project information and deliverables as confidential. We do not share your data with third parties except as necessary to perform our services or as required by law. Our Privacy Policy provides additional details on data handling.

10. Website Use

You agree to use our website lawfully and not to:

• Attempt unauthorized access to our systems or data
• Introduce malware, viruses, or other harmful code
• Scrape, copy, or misuse content without permission
• Use the website for any fraudulent or illegal purpose

11. Modifications

We may modify these Terms at any time. For ongoing projects, the Terms in effect at the time of project acceptance apply. For new projects, the Terms posted on our website at the time of quote acceptance apply. Continued use of our website after changes constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Florida.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
